Please read these terms carefully before using MinTalks. By accessing or using the Platform, you agree to be bound by them.

These Terms & Conditions (“Terms”) govern your access to and use of the MinTalks website, applications and services (collectively, the “Platform”), operated by Min Talks Private Limited, a company incorporated in India (CIN: [CIN], GSTIN: [GSTIN]) (“MinTalks”, “we”, “us”). By using the Platform you agree to these Terms, our Privacy Policy and our Cancellation & Refund Policy.
1. Nature of the Platform — Aggregator / Intermediary
MinTalks is an online aggregator and intermediary (within the meaning of the Information Technology Act, 2000) that connects individuals (“Users”, “you”) with independent, licensed mental-health professionals (“Practitioners”). MinTalks is not a hospital, clinic, or healthcare provider and does not itself provide medical, psychological or therapeutic advice, diagnosis or treatment. The therapy relationship is solely between you and the Practitioner; MinTalks merely facilitates discovery, booking, communication and payment.
2. Not for emergencies
The Platform is not designed for medical emergencies or crisis situations. If you are experiencing a mental-health emergency, having thoughts of self-harm or suicide, or are in immediate danger, please contact your local emergency services, go to the nearest hospital, or call a recognised crisis helpline. Do not rely on the Platform for urgent needs.
3. Eligibility
You must be 18 years or older and competent to enter into a contract under the Indian Contract Act, 1872 to use the Platform. By using the Platform you represent that you meet these requirements and that the information you provide is accurate.
4. Practitioners & verification
We take reasonable steps to verify that Practitioners hold relevant qualifications and licences. However, Practitioners are independent professionals and are solely responsible for the care, advice and services they provide. MinTalks does not guarantee any specific outcome and is not liable for the acts, omissions or professional conduct of any Practitioner.
5. Your account & responsibilities
- You are responsible for maintaining the confidentiality of your account credentials.
- You agree to provide accurate, current and complete information.
- You will use the Platform only for lawful, personal purposes.
- You will not impersonate any person, misuse the Platform, or infringe others’ rights.
6. Bookings & sessions
Sessions are delivered online (secure video, audio or chat) at the scheduled time. It is your responsibility to have a suitable device, connectivity and a private environment. Missed or late arrivals may be treated as per Section 8 and our Cancellation & Refund Policy.
7. Fees, taxes & payments
- All fees are listed in Indian Rupees (INR) and are inclusive or exclusive of applicable GST as indicated at checkout.
- Payments are processed by our third-party payment gateway, Razorpay Software Private Limited. By making a payment you also agree to Razorpay’s terms. MinTalks does not store your full card or banking details.
- You agree to pay all charges for services you book. We reserve the right to change fees prospectively; changes will not affect bookings already paid for.
8. Cancellations & refunds
Cancellations, rescheduling, no-shows and refunds are governed by our Cancellation & Refund Policy, which forms part of these Terms.
9. Prohibited conduct
- Using the Platform for any unlawful, harmful or fraudulent purpose;
- Recording sessions without the Practitioner’s consent;
- Attempting to gain unauthorised access to the Platform or its data;
- Uploading malware, or scraping or reverse-engineering the Platform;
- Harassing, abusing or defaming Practitioners, staff or other Users.
10. Intellectual property
All content on the Platform — including text, graphics, logos, and software — is owned by or licensed to MinTalks and protected under applicable law. You may not copy, modify, distribute or exploit it without our prior written consent.
11. Disclaimers
The Platform is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied. We do not warrant that the Platform will be uninterrupted, error-free or secure, or that any particular Practitioner or outcome will meet your expectations.
12. Limitation of liability
To the maximum extent permitted by law, MinTalks and its officers, employees and affiliates shall not be liable for any indirect, incidental, special or consequential damages, or for the acts or omissions of Practitioners. Our aggregate liability arising out of or relating to the Platform shall not exceed the total fees paid by you to MinTalks in the three (3) months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be excluded under applicable law.
13. Indemnity
You agree to indemnify and hold harmless MinTalks from any claims, losses or expenses (including legal fees) arising out of your breach of these Terms or misuse of the Platform.
14. Suspension & termination
We may suspend or terminate your access if you breach these Terms, or to comply with law or protect the Platform and its users. You may stop using the Platform and request account closure at any time.
15. Governing law & dispute resolution
These Terms are governed by the laws of India. Subject to the dispute resolution below, the courts at [City, State] shall have exclusive jurisdiction. Any dispute shall first be attempted to be resolved amicably; failing which it may be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated at [City], conducted in English.

17. Changes to these Terms
We may amend these Terms from time to time. The revised Terms take effect when posted on the Platform. Your continued use constitutes acceptance of the updated Terms.
